USE OF THE SERVICES
In order to bring our users interesting and engaging information on health, wellness and fitness the Content and related information made available through the Services comes from a variety of sources.
Psych Central Content
Psych Central may from time to time (i) receive from third party vendors free products that we review and feature in our Content, and (ii) receive compensation for our review and discussion of the products featured in our Content and for the resulting advertisement and promotion of those products and the companies that sell them.
The Services may offer users the opportunity to post Content on the Services in the form of articles, comments, photographs, videos, artwork, and other materials (collectively, the “User Submissions”). By making a User Submission, you grant to Psych Central an unrestricted, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such User Submission throughout the world in any and all media and formats, whether now known or hereafter developed, for any purpose whatsoever, without payment of compensation or acknowledgement of its source. - contains viruses, Trojan horses, worms or other code, scripts, routines, files or programs designed to alter, interrupt, impede, limit or destroy the performance and/or functioning of any software, hardware, or other equipment.
You further agree that any User Submission you provide does not contain any confidential, proprietary or trade secret information of any third party, and will not be treated as confidential by Psych Central. Psych Central shall have no obligation to store, keep copies of or return any User Submissions. Psych Central further reserves the right (but does not have the obligation), in its sole discretion, to modify, delete or remove any User Submission from the Services that it deems to be in violation of the foregoing requirements.
Without limiting the generality of the foregoing, Psych Central shall have the right to:
- Remove or refuse to post any User Submissions for any or no reason in our sole discretion.
- Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services.
Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Services. YOU WAIVE AND HOLD HARMLESS PSYCHCENTRAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

JURISDICTION, LOCATION, SURVIVAL
You expressly agree that exclusive jurisdiction for any dispute with Psych Central, or in any way relating to your use of the Services, resides in the courts of the State of California and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the State of California in connection with any such dispute including any claim involving Psych Central, or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers, and content providers.
Psych Central is based in San Francisco, CA, USA. Psych Central makes no claims that Content is appropriate or may be downloaded outside of the United States. Access to the Content may not be legal by certain persons or in certain countries. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.
The following provisions survive the expiration or termination of this Agreement for any reason whatsoever: Location; Survival, Liability of Psych Central, and its Licensors, User Submissions, Indemnity, Jurisdiction, No Waiver, and Complete Agreement.
COMPLETE AGREEMENT; AMENDMENTS
This Agreement is effective unless and until terminated by either you or Psych Central. You may terminate this Agreement at any time by discontinuing use of the Services (subject to the surviving terms set forth herein). Psych Central also may terminate this Agreement at any time and may do so immediately without notice, and accordingly deny you access to the Services, if in Psych Central’s sole discretion you fail to comply with any term or provision of this Agreement.
